Material Breach

Material Breach is a contract term which refers to a failure in the performance of a contract, significant enough substantial failure to give the affected party the right to sue for damages as well as release the aggrieved party (non-breaching party) from its obligations. The Material Breach is a major breach that is considered serious enough to need to formally write to the business requiring action to be taken to deal with the material breach (Notification of Contravention (NoC)).
